INTRODUCTION OF IMPACT GROUP

IMPACT ENTERTAINMENT (HONG KONG) LIMITED (formerly known as "Impact Entertainment Holdings Limited") was established in the year of 1985, providing first rate professional services in many years relating to music, concerts and films. We are proud of ourselves by having an efficient team of experts of the entertainment field and staffs who always demonstrate their high professionalism in carrying duties. The Company's extensive experience in Hong Kong has made it one of the most recognized companies in the region, enjoying the respect of other members in the industry.

IMPACT Group of Companies comprise of TEN divisions in Hong Kong, Singapore, Malaysia and Taiwan. Followings are the brief description of our function and background:-

MOVIE IMPACT / FILMS INVESTMENT
IMPACT Group has been involved in the production and distribution of films, telefeatures and serials since 1986. We are among a few prominent and well-acclaimed independent feature film & telefeature producers in Hong Kong. We normally produced 5-7 movies a year and all products have been distributed to a far-reaching network such as America, Europe and Australia. Of course, the market in Asia is still our profitable centre.

We are also active in seeking co-production partners in making feature films, telefeatures and drama series as well. The list of movies is shown in Exhibit A. Our films are also awarded winning films in Hong Kong and other territories.

VIDEO IMPACT
This division was re-organized in the year of 1993 and so far we have already produced over 6 telefeatures for local and overseas market. Video Impact has been growing to meet the high demand of the market as presently home video is very strong and potential in Asia. List of telefeatures is shown in Exhibit B.3.

IMPACT FILM DISTRIBUTION
It distributes Impact's own production as well as other Chinese and English Feature films from other independent producers for worldwide territories such as Australia, New Zealand, China, Indonesia, Japan, Korea, Malaysia, Singapore, Pakistan, Thailand, Taiwan, United Kingdom, USA and Canada.
It acquires and distributes feature films, telefeatures, drama series, animations and documentaries.

This division also distributes all in-house concerts produced by ENTERTAINMENT IMPACT. In addition to that, it is the SOLE AND EXCLUSIVE distributor of the biggest Malaysian production house which produces Chinese drama series with an annual production of more than 300 hours a year.

ENTERTAINMENT IMPACT
Since 1986, IMPACT Group has experienced in organizing and producing both local and overseas shows and live concerts for many famous singers namely Andy Lau, Alan Tam, Anita Mui, Jacky Cheung, Hacken Lee, Sandy Lam, Hideki Saijo and Wynners, etc. The territories being covered are Mainland China, Europe, USA, Canada, Australia, New Zealand, Singapore, Malaysia, Thailand, Taiwan, Macau and Hong Kong.

IMAGE IMPACT
This division has carried an Artiste Management arm which exists to look after many Artistes and ensures that they are constantly reaffirming or repackaging their images in order to maintain a high profile that their careers depend upon. As part of the conglomerate, this division gives lead in for the artistes to star in television programmers as to promote to feature film starring. For popular artistes, we provide good exposure to singing career, advertisement idol aspect, etc. Moreover, we seek starring opportunity for artistes overseas in Mainland China, Taiwan, Singapore, Malaysia, Vietnam as to other international acting roles. The list of our artistes is shown in Exhibit F. A small department is attached in this division to market memorabilia and souvenirs.

MUSIC IMPACT
This division is active and conspicuous members of the music industry. It engages in the making of sound recordings and act as distributor for some Taiwan companies. In April 1996, Music Impact Limited was merged with BMG International to expand the music business in Asia as well as worldwide. The said joint-venture is under the umbrella of "Music Impact Entertainment (Hong Kong) Limited" which will liaise other potential singers from Hong Kong and China in the nearest future. The contractual artistes in the new joint-venture company are Andy Lau, Hacken Lee, Koo Kui Kei, Tony Leung, Gigi Lai, Max Mok, Kenny Ho, Chung Hon Leung and Chan San Chung etc.

ENGINEERING IMPACT
This division is proud to offer technological services in lighting and audio equipment for all staging needs. Our state of the art equipment, which can handle venues with large capacity in any part of the world, is managed by a team of super skilled and knowledgeable staff. Through a combination of technical expertise, professional experience, this division is capable of catering to all staging needs.

MUSIC PUBLISHING
This division is actively engaged in the administration, publication, use and exploitation of musical compositions for composers, authors and publishers worldwide. It has been elected as a member of the composers and authors society of Hong Kong Limited since June 1990. As of today, this division is assigned as sub-publisher for three other Taiwan record companies and publisher holding, throughout all territories of the world, the entire copyright of 800 musical compositions, without limitation of the foregoing, all rights of printing, mechanical reproduction, publication, performance, broadcasting, transmission to subscribers, adaptation, synchronization with visual Images whether on film tape, motion picture, karaoke or any other medium.9.

ADVERTISING AND PROMOTION
This division has its in-house design studio for product package, promotional materials, artwork designs and colour separation production. It also acts as a media planner and advertising consultant which hold corporate accounts with press, commercial radios and TVs for media placement serving both related companies and public firms.

SUPER IMPACT PRODUCTION
Super Impact Production Limited was established in 1994. It is an entertainment software company specialized in the production of television drama series and tele-feature films for the global Chinese communities. Building on the strong track records of Super Television Limited and Impact Films Investment Limited in the entertainment industry, this new Joint Venture will take on the production of quality software products for the high growth home entertainment markets in Taiwan, Hong Kong, China and the worldwide Chinese communities. Distribution of the programmes are handled by in-house company, Super Impact International Limited.

In addition to the above captioned divisions, IMPACT ENTERTAINMENT (ASIA) LIMITED has also involved in a television broadcasting in Taiwan named as "Super Television" by mid of 1995 and the said TV was open on 10th October, 1995.
